1. Legal Ownership and Intellectual Property

Welcome to MobilePayments, operated by MOBILE PAY LTD (“we,” “us,” or “our”). We are a company registered in England and Wales under company number 15999241, with our registered office at Woodlands Cottage, Chapel Lane, Ashby-Cum-Fenby, Grimsby, South Humberside, United Kingdom, DN37 0QT.
1.2 Intellectual Property Rights
All content, trademarks, and technology within the MobilePayments App and Services belong to MobilePayments or its licensors. You are granted a limited, non-transferable, non-exclusive license to use our App and Services solely for lawful business transactions.
1.3 Prohibited Uses
Unless explicitly permitted:
You may not copy, modify, reverse-engineer, or distribute our App or Services.
You cannot use our platform to create competing services.
Any attempt to bypass security measures or interfere with transactions is strictly prohibited.
2. Eligibility and Account Registration
2.1 Who Can Use MobilePayments
To create an account, you must:
Be at least 18 years old.
Be acting on behalf of a business, not as an individual consumer.
Have the legal authority to bind your business to this agreement.
2.2 Account Creation
To use our Services, you must:
Register an account by providing accurate business details.
Undergo identity verification for security and compliance reasons.
2.3 Account Approval & Restrictions
We reserve the right to decline or suspend accounts at our discretion.
We may request additional documentation at any time.
MobilePayments will not support accounts engaged in prohibited activities, as defined in our Acceptable Use policy.
3. Payment Processing and Transactions
3.1 Third-Party Processing
Payments made through MobilePayments are processed by our payment partner, Stripe. When you process transactions through the App, you enter a separate contractual agreement with Stripe, subject to their terms at https://stripe.com/gb/legal/connect-account.
3.2 Your Responsibilities
You must comply with all terms set by Stripe or any other payment processor we work with.
Transactions may be declined or flagged for review due to security or regulatory concerns.
3.3 Prohibited Transactions
Certain industries and activities are not permitted on MobilePayments. You can find the full list of restricted businesses at https://stripe.com/gb/restricted-businesses.
4. Hardware (EPOS & Card Readers)
4.1 Using MobilePayments Card Readers
MobilePayments provides electronic point-of-sale (EPOS) hardware to businesses for processing payments. These devices are supplied by Stripe and are subject to Stripe’s hardware terms at https://stripe.com/gb/terminal/legal.
4.2 Hardware Ownership
If provided for free, the hardware remains our property and must be returned if your account is closed.
If you purchase a device, you are responsible for its maintenance and disposal under applicable waste regulations.
4.3 Leased Hardware
If you lease EPOS hardware from us, you:
Do not own the device.
Are responsible for damages, loss, or theft.
5. Fees, Charges, and Rewards
5.1 Service Fees
All applicable fees are displayed in the MobilePayments App and Fee Schedule on our website. These fees may include:
Transaction processing fees.
Dispute handling fees.
Hardware or service-related charges.
5.2 Fee Adjustments
We may revise our fees periodically. You will receive at least 30 days' notice before any fee changes take effect.
5.3 Loyalty Rewards
If you are enrolled in any MobilePayments Rewards Program, you may earn fee reductions or other benefits.
Rewards cannot be exchanged for cash.
Unused rewards may expire after a period of inactivity.
6. Acceptable Use Policy
6.1 Permitted Uses
You may use MobilePayments only for lawful business transactions.
6.2 Prohibited Conduct
You may not use our Services for:
Fraudulent, deceptive, or illegal activities.
Processing payments for restricted businesses (see Section 3.3).
Any form of security breach, hacking, or unauthorized system access.
6.3 Gratuities & Donations
If your business collects tips or donations, it is your responsibility to distribute those funds appropriately.
7. Privacy and Data Protection
7.1 How We Handle Your Data
Your personal and business data is processed in accordance with our Privacy Policy, available on our website.
7.2 Third-Party Data Sharing
We share necessary user data with Stripe and other payment providers to facilitate transactions.
If you process customer payments, you must inform customers how their data is used.
8. Service Availability and Liability
8.1 Availability
We aim to provide reliable service but do not guarantee uninterrupted access.
8.2 Liability Limitations
We are not responsible for:
Loss of revenue, profits, or business opportunities due to service interruptions.
Errors or disruptions caused by third-party services, including Stripe.
8.3 Legal Liabilities We Do Not Exclude
We do not exclude liability for:
Death or personal injury caused by negligence.
Fraud or misrepresentation.
8.4 Maximum Liability
Our total financial liability under these Terms is limited to £50.
9. Termination and Account Suspension
9.1 Account Closure by You
You may close your MobilePayments account at any time.
9.2 Suspension by Us
We reserve the right to:
Suspend or terminate accounts for breach of these Terms.
Take legal action if misuse, fraud, or regulatory violations are suspected.
10. Updates to These Terms
10.1 How Changes Work
We may update these Terms periodically to reflect legal, operational, or security changes.
Any updates take effect 7 days after they are posted on our website.
10.2 Your Responsibility
It is your duty to check for updates. Continuing to use MobilePayments after a change means you accept the new terms.

These Terms are governed by English law. Any disputes will be resolved in the courts of England and Wales.
